SenesTech Announces Pricing of Public Offering of Common Stock and Warrants to Purchase Common Stock

FLAGSTAFF, Ariz., Nov. 17, 2017 /PRNewswire/ -- SenesTech, Inc. (NASDAQ: SNES), a developer of proprietary technologies for managing animal pest populations through fertility control, today announced that it has priced its underwritten public offering of 5,400,000 shares of common stock and warrants to purchase 4,050,000 shares of common stock at a price of $1.00 per share, including the warrants. The warrants will have an exercise price of $1.50 per share, are exercisable immediately and will expire five years from the date of issuance. The gross proceeds to SenesTech from this offering are expected to be approximately $5,400,000, before deducting underwriting discounts, commissions and other estimated offering expenses. SenesTech has granted the underwriters a 30-day option to purchase up to an additional 810,000 shares of Common Stock and warrants to purchase 607,500 shares of common stock to cover over-allotments, if any. The offering is expected to close on November 21, 2017, subject to customary closing conditions.
